Important Notes
Duty to Defend:
Embroker shall have the right and duty to defend any Claim against the Insured which is covered under this Policy even if any of the allegations in such Claim are groundless, false or fraudulent. The Duty to Defend includes the right and duty to appoint counsel.
Defense Counsel:
The use of panel counsel is required. Please review the approved panel counsel list below. Panel counsel will be selected by the assigned Claim Professional for reported covered Claims.
Notification Requirement:
As a condition precedent to coverage, the Insured shall give us written notice of any Claim made against the Insured as soon as practicable after the Chief Executive Officer or functionally equivalent first learns of such Claim, but in no event later than (i) ninety (90) days after the Discovery or expiration of the Policy Period if the policy is canceled or non-renewed. You shall include with any such notice of circumstance a description of the circumstances, the nature of any potential Wrongful Act, the nature of the alleged or potential damage, the names of actual or potential claimants, and the manner in which the Insured first became aware of the circumstances.
